Definitions

Scope of Agreement

This District Agreement ("Agreement") supplements the LaunchPad Careers Terms of Service and Privacy Policy, which continue to apply. In the event of a conflict, this Agreement governs with respect to district, school, counselor, and student matters.

This Agreement applies to: the District Administrator account, all School Admin accounts created under the district, all counselor accounts at district schools, all student accounts managed through those counselors, and all use of district-level portal features including cross-school reporting and administration.

The District Administrator accepts this Agreement on behalf of the entire district and all schools enrolled under it. Each school added to the district is bound by the terms of this Agreement and the companion School Agreement.

District Administrator Responsibilities

By accepting this Agreement, the District Administrator represents and warrants that:

• They are an authorized representative of the District with authority to bind the District and its schools to this Agreement
• Use of LaunchPad Careers is for legitimate educational purposes related to student career exploration
• They will only add schools that are part of their district and will not add schools without proper authorization
• They will ensure that School Admins and Counselors they designate are employees or authorized contractors of the respective schools
• They will maintain oversight of all accounts created under the district and ensure compliance with this Agreement at every level
• They will promptly notify LaunchPad Careers of any data breach, unauthorized access, or misuse of student accounts
• They will not create accounts for any individual under the age of 15 and will ensure all schools enforce this requirement
• They will inform students and parents about the use of LaunchPad Careers and the data collected

School Admin Delegation

The District Administrator may designate School Admins for individual schools within the district. This delegation carries significant responsibilities:

• The District Administrator is responsible for the actions of all School Admins they designate
• School Admins may invite counselors and manage students only within their assigned school
• School Admins may not access data from other schools within the district unless expressly authorized by the District Administrator
• The District Administrator may revoke School Admin access at any time through the district portal
• Delegation of School Admin access does not transfer the District Administrator's liability under this Agreement

Student Age Requirement

LaunchPad Careers is designed for 11th and 12th grade high school students. The Service is restricted to users who are 15 years of age or older. The District bears sole responsibility for enforcing this age restriction across all schools enrolled under the district account.

By enrolling schools and students under the district account, the District:

• Represents and warrants that all enrolled students across all district schools are 15 years of age or older
• Accepts full responsibility for any violation of this age restriction at any school within the district
• Agrees to indemnify 3 Kings IT Services, LLC for any claims arising from enrollment of a student under the age of 15 at any district school

FERPA Compliance

The Family Educational Rights and Privacy Act (FERPA, 20 U.S.C. § 1232g) protects the privacy of student education records. Because this Agreement covers multiple schools within a district, FERPA obligations apply at both the district level and at each individual school level.

Where LaunchPad Careers receives or maintains Student Data that constitutes education records under FERPA, LaunchPad Careers agrees to:

• Act as a "school official" with "legitimate educational interest" as defined by FERPA
• Use Student Data only for the purpose of providing the LaunchPad Careers service to the District and its schools
• Not disclose Student Data to any third party without the District's written authorization, except as required by law
• Not use Student Data to build advertising profiles, market to students, or any purpose unrelated to the educational service
• Allow the District and individual schools to review, correct, and request deletion of Student Data as required by FERPA
• Return or destroy Student Data upon termination of this Agreement as directed by the District

The District retains all rights and responsibilities as the educational agency under FERPA. School-level FERPA rights are preserved — individual schools may request access to or deletion of their students' data independently of other schools in the district.

Data Processing Agreement

LaunchPad Careers processes Student Data as a data processor on behalf of the District (the data controller) for the purpose of providing the career exploration service across all district schools.

LaunchPad Careers commits to the following data processing obligations:

• Process Student Data only on documented instructions from the District or as required by law
• Ensure that persons authorized to process Student Data have committed to appropriate confidentiality obligations
• Implement appropriate technical and organizational security measures to protect Student Data
• Not engage sub-processors for Student Data without informing the District. Current sub-processor: Supabase, Inc. (database and authentication infrastructure)
• Assist the District in responding to student and parent requests to exercise their data rights
• Maintain logical separation of student data between schools — counselors and school admins can only access data for students at their assigned school
• Provide the District Administrator with district-wide reporting access while maintaining school-level data boundaries

For purposes of data processing, the District is the data controller for all Student Data across all schools. Individual schools are co-controllers for their own students' data. LaunchPad Careers acts as processor for all.

No Reliance Disclaimer

The District acknowledges and agrees that:

• LaunchPad Careers content is informational only and does not constitute professional career counseling, vocational assessment, or educational placement advice
• LaunchPad Careers should not be used as the sole or primary basis for any career counseling recommendation, course selection, or significant educational decision affecting a student
• Salary data, job growth projections, and career information are general guidance based on national statistics and may not reflect local conditions
• Individual schools and their counselors bear sole professional responsibility for career guidance provided to students
• LaunchPad Careers is not a licensed vocational counseling provider

Student Data Rights Under This Agreement

Students (age 15 and older) retain the following rights with respect to their data. Requests may be submitted by students directly, by their school counselor, by the School Admin, or by the District Administrator.

• Right to Access: Students may request a copy of their account data at any time
• Right to Correct: Students may update their account information directly through their dashboard
• Right to Delete: Students may delete their account and associated data at any time
• Right to Restrict: Students may opt out of career view tracking
• FERPA rights: Students over 18 (or whose parents have transferred rights) have the right to inspect and review their education records

Fees & Billing

LaunchPad Careers district accounts are offered on a subscription basis. Pricing is determined based on the district's total 11th and 12th grade student population across all enrolled schools and is provided via a formal quote following verification of the district's identity.

Verification & Quote Process: Before activation, districts must submit their LEA ID (NCES district identifier) and a photo of an authorized employee identification document for review. Upon approval, LaunchPad Careers will issue a formal quote valid for 45 days. Account activation occurs only upon receipt of full payment.

Payment Terms:

• All fees are due in full prior to account activation
• Quotes expire 45 days from the date of issue
• Payments are processed securely via Stripe
• Annual subscriptions are non-refundable after the 10-day period following activation
• The district subscription covers all schools added under the district account during the subscription period
• Districts will receive a renewal notice 30 days prior to their subscription end date

Adding Schools Mid-Term: Schools added to the district after the subscription start date are covered under the existing district subscription. Significant increases in student population may result in a pricing adjustment at the next renewal period.

Pricing Changes: LaunchPad Careers reserves the right to adjust pricing at renewal. Districts will be notified of any price changes at least 30 days before their renewal date.

Termination

Either party may terminate this Agreement with 30 days' written notice. LaunchPad Careers may terminate immediately for material breach, including unauthorized use of student data, violation of FERPA obligations, or misrepresentation during the verification process.

Upon termination:

• All district, school admin, counselor, and associated student accounts will be deactivated
• LaunchPad Careers will provide a data export of all Student Data within 30 days of termination request
• LaunchPad Careers will delete all Student Data from its systems within 60 days of termination, except as required by law
• Individual schools may request to continue as standalone school accounts under the School Agreement — contact info@3kings-it.com within 30 days of district termination
• Sections 6 (FERPA), 7 (Data Processing), and 8 (No Reliance) survive termination
