Definitions

Scope of Agreement

This School & Counselor Agreement ("Agreement") supplements the LaunchPad Careers Terms of Service and Privacy Policy, which continue to apply. In the event of a conflict between this Agreement and the general Terms of Service, this Agreement governs with respect to counselor and student matters.

This Agreement applies to all counselor accounts, all student accounts created or managed by a counselor, and all use of the counselor portal features. The Service is intended solely for students who are 15 years of age or older. The School agrees not to create or permit accounts for any individual under the age of 15.

Counselor Responsibilities

By accepting this Agreement, the Counselor represents and warrants that:

• They are an employee, contractor, or authorized representative of the School and have authority to bind the School to this Agreement
• Their use of LaunchPad Careers is for legitimate educational purposes related to student career exploration and counseling
• They will use Student Data only for educational purposes and not for any personal, commercial, or unauthorized purpose
• They will maintain the confidentiality of student information and not share it with unauthorized parties
• They will promptly notify LaunchPad Careers of any data breach or unauthorized access to student accounts
• They will not create accounts for any individual under the age of 15, and will represent that all students enrolled in the Service meet this minimum age requirement
• They will inform students about the use of LaunchPad Careers and the data collected in connection with their use

Student Age Requirement

LaunchPad Careers is designed for high school and post-secondary students. The Service is restricted to users who are 15 years of age or older. Because the Service does not knowingly permit accounts for children under 13, COPPA's parental consent requirements are not triggered by the Service's intended use. The School bears sole responsibility for enforcing this age restriction within its program.

By enrolling students in the Service through the counselor portal, the School:

• Represents and warrants that all enrolled students are 15 years of age or older
• Represents that such consent is given solely for educational career exploration purposes
• Agrees to notify students of their data rights under this Agreement and applicable law
• Accepts full responsibility for any violation of this age restriction and agrees to indemnify 3 Kings IT Services, LLC for any claims arising from the enrollment of a student under the age of 15

FERPA Compliance

The Family Educational Rights and Privacy Act (FERPA, 20 U.S.C. § 1232g) protects the privacy of student education records.

Where LaunchPad Careers receives or maintains Student Data that constitutes education records under FERPA, LaunchPad Careers agrees to:

• Act as a "school official" with "legitimate educational interest" as defined by FERPA
• Use Student Data only for the purpose of providing the LaunchPad Careers service to the School
• Not disclose Student Data to any third party without the School's written authorization, except as required by law
• Not use Student Data to build advertising profiles, market to students, or any purpose unrelated to providing the educational service
• Allow the School to review, correct, and request deletion of Student Data as required by FERPA
• Return or destroy Student Data upon termination of this Agreement as directed by the School

The School retains all rights and responsibilities as the educational institution under FERPA. LaunchPad Careers does not assume FERPA obligations beyond those expressly stated in this Agreement.

Data Processing Agreement

LaunchPad Careers processes Student Data as a data processor on behalf of the School (the data controller) for the purpose of providing the career exploration service.

LaunchPad Careers commits to the following data processing obligations:

• Process Student Data only on documented instructions from the School or as required by law
• Ensure that persons authorized to process Student Data have committed to appropriate confidentiality obligations
• Implement appropriate technical and organizational security measures to protect Student Data
• Not engage sub-processors for Student Data without informing the School. Current sub-processor: Supabase, Inc. (database and authentication infrastructure)
• Assist the School in responding to student requests to exercise their data rights
• Delete or return all Student Data to the School upon termination of this Agreement, as directed
• Provide all information necessary to demonstrate compliance with data protection obligations
• Notify the School without undue delay upon becoming aware of a personal data breach affecting Student Data

Schools requiring a signed Data Processing Agreement (DPA) for compliance with state student privacy laws (including SOPIPA, NY Ed Law 2-d, or similar) should contact info@3kings-it.com to request a signed copy.

No Reliance Disclaimer for Counselors

Counselors acknowledge and agree that:

• LaunchPad Careers content is informational only and does not constitute professional career counseling, vocational assessment, or educational placement advice
• LaunchPad Careers should not be used as the sole or primary basis for any career counseling recommendation, course selection, academic placement, or significant educational decision affecting a student
• Salary data, job growth projections, and career information are general guidance based on national statistics and may not reflect local conditions, individual circumstances, or current market realities
• Counselors bear sole professional responsibility for the career guidance they provide to students, including any guidance informed by content found on LaunchPad Careers
• LaunchPad Careers is not a licensed vocational counseling provider and its content does not substitute for professional vocational evaluation

Student Data Rights Under This Agreement

Students (age 15 and older) retain the following rights with respect to their data under this Agreement. Because all enrolled students are 15 or older, students exercise these rights directly. School counselors may also submit requests on behalf of their students.

• Right to Access: Students may request a copy of their account data at any time
• Right to Correct: Students may update their account information directly through their dashboard
• Right to Delete: Students may delete their account and associated data at any time through their dashboard settings or by contacting us
• Right to Restrict: Students may opt out of career view tracking while remaining able to save careers
• FERPA rights: Students who are over 18 (or whose parents have transferred rights under FERPA) have the right to inspect and review their education records

Schools may submit requests to access, correct, or delete student data on behalf of students or parents by contacting info@3kings-it.com.

Fees & Billing

LaunchPad Careers school accounts are offered on a subscription basis. Pricing is determined based on your institution's 11th and 12th grade student population and is provided via a formal quote following verification of your school identity.

Verification & Quote Process: Before activation, schools must submit a NCES school ID and a photo of an employee identification document for review. Upon approval, LaunchPad Careers will issue a formal quote valid for 45 days. Account activation occurs only upon receipt of full payment.

Payment Terms:

• All fees are due in full prior to account activation
• Quotes expire 45 days from the date of issue
• Payments are processed securely via Stripe
• Annual subscriptions are non-refundable after the 10-day period following activation
• Schools will receive a renewal notice 30 days prior to their subscription end date

Pricing Changes: LaunchPad Careers reserves the right to adjust pricing at renewal. Schools will be notified of any price changes at least 30 days before their renewal date.

Termination

Either party may terminate this Agreement with 30 days' written notice. LaunchPad Careers may terminate immediately for material breach, including unauthorized use of student data or violation of FERPA obligations.

Upon termination:

• All counselor and associated student accounts will be deactivated
• LaunchPad Careers will provide a data export of all Student Data within 30 days of termination request
• LaunchPad Careers will delete all Student Data from its systems within 60 days of termination, except as required by law
• Sections 5 (FERPA), 6 (Data Processing), and 7 (No Reliance) survive termination
